Effective Date: April 9, 2026

This End User License Agreement ("Agreement") is a binding legal agreement between you ("User," "you," or "your") and Garner West Electric ("Company," "we," "us," or "our"). By accessing or using the GW Portal application ("Application"), you agree to be bound by the terms of this Agreement. If you do not agree, do not access or use the Application.

1. License Grant

Subject to the terms of this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Application solely for internal business purposes related to your employment or authorized engagement with Garner West Electric. This license does not permit use of the Application for any purpose outside the scope of your duties at the Company.

2. Eligibility

The Application is a private, internal platform intended exclusively for authorized employees, contractors, and personnel of Garner West Electric. Access credentials are assigned by the Company and are personal to each User. You must not share, transfer, or disclose your login credentials to any third party.

3. Restrictions on Use

You agree that you will not:

• Copy, modify, distribute, sell, or lease any part of the Application;
• Reverse engineer, decompile, or disassemble the Application;
• Attempt to gain unauthorized access to any systems, networks, or data connected to the Application;
• Use the Application for any unlawful, fraudulent, or malicious purpose;
• Share, publish, or otherwise disclose any proprietary data accessed through the Application;
• Use automated tools, bots, scrapers, or similar technologies to interact with the Application.

4. Intellectual Property

The Application, including all software, content, designs, trademarks, and data, is the exclusive property of Garner West Electric or its licensors. Nothing in this Agreement transfers any ownership rights to you. All rights not expressly granted herein are reserved by the Company.

5. Data and Confidentiality

All data entered into, generated by, or accessible through the Application is the property of Garner West Electric. You acknowledge that such data may include confidential business information, trade secrets, customer information, and proprietary records. You agree to maintain strict confidentiality of all data and information accessed through the Application, both during and after your engagement with the Company.

6. Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify the Company immediately if you become aware of any unauthorized use of your account or any security breach.

7. Termination

This license is effective until terminated. The Company may suspend or revoke your access at any time, with or without cause or notice. Upon termination of your employment or engagement with Garner West Electric, your license to use the Application is automatically revoked. Upon termination, you must cease all use of the Application and return or destroy any Company data in your possession.

8. Disclaimer of Warranties

THE APPLICATION IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. THE COMPANY DOES NOT WARRANT THAT THE APPLICATION WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GARNER WEST ELECTRIC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO YOUR USE OF THE APPLICATION, REGARDLESS OF THE THEORY OF LIABILITY.

10. Modifications

The Company reserves the right to modify this Agreement at any time. Updated terms will be posted within the Application or communicated to Users. Continued use of the Application after modifications constitutes acceptance of the revised terms.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be resolved in the courts located in the State of Florida.
